DMS for Microsoft Teams – Terms of Use

These Terms of Use (“Terms“) govern your access to and use of the DMS application for Microsoft Teams (“App“), provided by Modus Interactive Ltd (“Modus“, “we“, “us“). By installing, accessing or using the App, you agree to these Terms.

1. Scope

The App is a Teams companion for DeployMS, the asset deployment management service operated by Modus. These Terms cover only the Teams App and the associated message-relay service at teams.deployms.io. Your use of DeployMS itself is governed by your separate DeployMS Service Agreement; in the event of conflict, the DeployMS Service Agreement controls for matters concerning the DeployMS service, and these Terms control for matters concerning the App.

2. Eligibility

The App is available to organisations with an active DeployMS subscription. You must be a Microsoft Teams tenant administrator to install the App and grant the required permissions, and a DeployMS administrator to complete pairing. Individuals accessing the App on behalf of an organisation confirm they are authorised to bind that organisation to these Terms.

3. Installation and pairing

Installation requires your Teams administrator to consent to the Microsoft Graph permissions declared in the App manifest. Pairing requires a one-time code generated from within your DeployMS instance and issued to the App via the connect command. Pairing binds your Teams tenant to the DeployMS instance that issued the code. You are responsible for safeguarding pairing codes; anyone holding a valid code can link a tenant to the issuing DeployMS instance until the code is used or expires.

4. Acceptable use

You agree not to use the App to: (a) transmit unlawful, infringing, defamatory or harassing content; (b) probe, scan, or test the vulnerability of the App or the relay service except under a written security-testing agreement with Modus; (c) interfere with or disrupt service to others; (d) bypass rate limits or authentication; or (e) use the App in any way that violates Microsoft’s Acceptable Use Policy for Teams.

5. Data and privacy

The App routes messages between your Teams tenant and your DeployMS instance via a central relay operated by Modus from the United Kingdom. The relay handles message-routing metadata (tenant ID, conversation references, delivery timestamps) and does not persist conversation content. User directory information is accessed on demand via Microsoft Graph solely for identity resolution and is not retained by Modus. Our full privacy practices are set out in the Modus Privacy Policy. Your processing of personal data through the App is additionally subject to the data-processing terms in your DeployMS Service Agreement.

6. Microsoft Teams and Graph permissions

The App requires the permissions declared in its Teams manifest. You may revoke these permissions at any time via your Microsoft 365 admin centre; doing so will prevent the App from functioning.

7. Service availability

We aim to keep the App and relay available during normal business hours, but the App is provided without a specific uptime commitment unless separately agreed in writing. Microsoft Teams availability is governed by your Microsoft 365 agreement, not by Modus.

8. Intellectual property

The App, the relay software, and all associated materials are owned by Modus or its licensors and are protected by copyright and other intellectual property laws. These Terms grant you a non-exclusive, non-transferable, revocable licence to use the App solely in connection with your DeployMS subscription. No other rights are granted.

9. Disclaimer of warranties

To the maximum extent permitted by law, the App is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Modus does not warrant that the App will be uninterrupted, error-free, or secure against all threats.

10. Limitation of liability

To the maximum extent permitted by law, Modus’s total aggregate liability arising out of or relating to the App in any twelve-month period shall not exceed the fees paid by your organisation for DeployMS in that period, or £100 if no such fees were paid. In no event shall Modus be liable for indirect, incidental, consequential, special or exemplary damages, or for loss of profits, revenues, data, or goodwill. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence or for fraud.

11. Termination

You may stop using the App at any time by uninstalling it from your Teams tenant. We may suspend or terminate your access to the App for breach of these Terms, for security reasons, or if your DeployMS subscription ends. On termination, the pairing between your Teams tenant and your DeployMS instance is revoked. Sections 5, 8, 9, 10 and 13 survive termination.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the DeployMS administrator console or by email to the account contact we hold for your organisation. Continued use of the App after a change takes effect constitutes acceptance of the updated Terms.

13. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except that either party may seek injunctive relief in any competent court.
